01Agreement to terms

These Terms of Service (“Terms”) form a binding contract between you (“you,” the “Client” where applicable) and Velvet Storm LLC, a Wyoming limited liability company (“Velvet Storm,” “we,” “us”), governing your access to and use of velvetstormseo.com(the “Site”) and any web development, SEO, or related services we provide (the “Services”).

By using the Site or engaging us for Services, you confirm that you are at least 18 years old, have authority to bind the entity you represent, and agree to be bound by these Terms.

Where a separate Statement of Work, Master Services Agreement, or other written agreement signed by both parties (an “SOW”) covers a specific engagement, the SOW controls for everything it addresses; these Terms cover the rest.

02Eligibility & account integrity

You must be at least 18 and legally capable of entering a contract under the laws of your jurisdiction. If you are using the Site or contracting on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

You agree to keep any project credentials we share with you confidential and to notify us within 24 hours of any suspected unauthorized use of those credentials.

03Acceptable use of the Site

Our full Acceptable Use Policy is in a separate document. In short, you may read this site, share links, and submit an inquiry. You may not:

1. Scrape, crawl, or harvest data from the Site at a rate that degrades service, or in violation of our robots.txt directives.
2. Probe for vulnerabilities or attempt to circumvent access controls without our prior written permission. (Coordinated disclosure is welcome — see our Trust & Security page.)
3. Submit unlawful, defamatory, harassing, infringing, or deliberately misleading content.
4. Use the Site or its contents to train any machine-learning model or to build a competing service, without our prior written permission.
5. Use automated systems to send inquiries through the contact form.

We may suspend or terminate access for any user who violates these rules. See also our Acceptable Use Policy.

04Services we provide

Velvet Storm provides web development, search engine optimization, content production, and related digital studio services. The specific deliverables, milestones, schedule, and fees for any engagement are set out in a signed SOW.

Indicative pricing on the Site (e.g. tier prices on the Pricing page) is for illustrative purposes. The binding price for your engagement is the one stated in your SOW.

Client responsibilities. To do good work, we need timely access to your assets, accounts, and decision-makers. You agree to (a) provide accurate information, (b) respond to our requests for input within five business days, (c) maintain your own backups of any content you supply, and (d) hold any third-party rights you ask us to incorporate into the deliverables.

05Fees, invoicing & taxes

• Project engagements are invoiced 50% on signature and 50% on delivery, unless the SOW specifies otherwise.
• Monthly retainers are invoiced on the first business day of each month, in advance.
• Invoices are due net 14 days. Past-due balances accrue interest at 1.0% per month or the maximum rate permitted under Wyoming law (Wyo. Stat. §40-14-106), whichever is lower.
• We may suspend services on any account more than 30 days past due, with five business days' written notice.
• All fees are stated in US Dollars and are exclusive of any applicable sales, use, value-added, or withholding tax. Where required, you will pay or reimburse such taxes.
• Payment card processing is handled by Stripe under their terms. We never see or store your full card number.

06Intellectual property

Your materials

You retain ownership of all content, brand assets, source data, and information you provide to us (“Client Materials”). You grant us a non-exclusive, royalty-free, worldwide license to use Client Materials solely to perform the Services.

Deliverables

On full payment of all fees due under the relevant SOW, we assign to you all of our right, title, and interest in the custom deliverables produced specifically for you (source code, written content, design files in the agreed format), free and clear, on a worldwide, perpetual, royalty-free basis.

Our materials

We retain ownership of (a) anything created before or independently of our engagement with you, (b) general methods, frameworks, techniques, and know-how (including any open-source tooling we develop), and (c) the contents of velvetstormseo.com. We grant you a perpetual, worldwide, non-transferable license to use any of our materials embedded in your deliverables.

Open-source components

Deliverables may include third-party open-source components (e.g. React, Next.js). Those components remain governed by their respective open-source licenses, which we will identify on request.

Portfolio & publicity

Unless your SOW says otherwise, we may show finished work in our portfolio, in case studies, and in pitch materials. If confidentiality matters to you, tell us in writing before signature and we will treat the engagement as confidential.

07Warranties & disclaimers

What we warrant

We warrant that the Services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. For 30 days after delivery of any milestone, we will correct defects in our deliverables at no additional cost, provided you notify us in writing during that window.

What we do not warrant

EXCEPT AS EXPRESSLY STATED ABOVE, THE SITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

08Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VELVET STORM, ITS MEMBERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ENGAGEMENT WILL NOT EXCEED THE AMOUNT YOU PAID US UNDER THE APPLICABLE SOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100) IF NO FEES HAVE BEEN PAID.

Nothing in these Terms limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, (c) willful misconduct, (d) gross negligence, or (e) any other liability that cannot be excluded as a matter of applicable law.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above may not apply to you in full.

09Indemnification

By you. You will defend, indemnify, and hold harmless Velvet Storm against any third-party claim arising out of (a) Client Materials you provided, (b) your use of deliverables outside the scope contemplated by the SOW, (c) content you publish on the deliverables, or (d) your breach of these Terms or violation of applicable law.

By us. We will defend, indemnify, and hold harmless you against any third-party claim that our original deliverables, as delivered, infringe a US-registered copyright, trademark, or patent — provided you (a) notify us in writing promptly, (b) give us sole control of the defense and settlement, and (c) cooperate with us at our expense. If a deliverable becomes the subject of an infringement claim, we may at our option modify it, replace it, or refund the fees paid for it.

10Term & termination

• For convenience.Either party may terminate a project engagement on 14 days' written notice. Monthly retainers may be canceled with 30 days' written notice, effective at the next billing cycle.
• For cause. Either party may terminate immediately if the other party (a) materially breaches the agreement and fails to cure within 14 days of written notice of the breach, or (b) becomes insolvent, files for bankruptcy, or ceases to do business.
• On termination, you will pay for all work completed up to the termination date plus any non-cancellable third-party costs we incurred for your project.
• Surviving sections. Sections that by their nature should survive termination (IP assignment on paid work, warranties, liability caps, indemnification, governing law, dispute resolution) will survive.

11Governing law & dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution. Before filing any lawsuit, you and we will attempt in good faith to resolve any dispute by direct discussion for at least 30 days after written notice.

Venue. If informal resolution fails, any unresolved claim arising out of or relating to these Terms or an engagement will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and both parties consent to that exclusive jurisdiction and venue.

Class action waiver. Both parties agree that any proceeding will be conducted on an individual basis only and not as a class, consolidated, or representative action, to the extent permitted by law.

Time bar. Any claim must be brought within one year after the cause of action accrues, or it is permanently barred.

12Force majeure

Neither party is liable for any delay or failure to perform caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, government action, labor disputes, internet or hosting provider outages, denial-of-service attacks, or pandemics. The affected party will give prompt written notice and use reasonable efforts to resume performance.

13Copyright complaints (DMCA)

We respect intellectual property rights and respond to clear notices of alleged copyright infringement under the US Digital Millennium Copyright Act, 17 U.S.C. §512. Send written notice including (a) your contact info, (b) identification of the copyrighted work, (c) identification of the allegedly infringing material with a URL, (d) a good-faith statement that the use is unauthorized, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act, and (f) your physical or electronic signature, to hello@velvetstormseo.com.

Filing a false DMCA notice may expose you to liability under 17 U.S.C. §512(f).

14Miscellaneous

• Entire agreement. These Terms plus any signed SOW are the complete agreement between the parties on their subject matter and supersede all prior discussions.
• Severability. If any provision is held unenforceable, the remainder remains in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.
• No waiver. Failure to enforce a provision once is not a waiver of the right to enforce it later.
• Assignment.Neither party may assign these Terms without the other's written consent, except in connection with a merger, acquisition, or sale of substantially all assets, on prior written notice.
• Notices. Legal notices to us must be sent to the address in Section 16 with a copy to hello@velvetstormseo.com. Notices to you are sent to the address you provided in your SOW or account, or to your last-known email address.
• Independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
• Export controls. You will not use our Services in violation of US export-control or sanctions laws.
• Updates. We may update these Terms. We will not apply changes retroactively to active SOWs. Updated Terms apply to engagements signed after the change date.

15US-only service notice

The Services are offered to clients worldwide, but the Site is operated from the USA. If you access the Site from outside the USA, you do so at your own initiative and are responsible for compliance with your local laws.
